This software and its associated source code, assets, documentation, and design (collectively, the "Software") are the property of VTEM Labs and are made available under the terms below. By downloading, copying, installing, running, or otherwise using the Software, you agree to these terms. If you do not agree, you may not use the Software.

VTEM Labs, Inc. is a self-funded Service-Disabled Veteran-Owned Small Business (SDVOSB). We pride ourselves on building the very best products in the industry, and we are deeply grateful to everyone who uses Tala WTE, honors these license terms, and champions a small veteran-owned team. Your support, licensing, and sponsorship are what fund the next release and keep this work going - thank you.

1. DEFINITIONS "VTEM Labs" means the author and sole rights holder of the Software.

"Permitted Use" means (a) use by an individual for their own private learning, experimentation, or skills practice, and (b) use by or on behalf of a bona fide non-profit or not-for-profit school, university, institution, or organization for non-commercial educational purposes, in each case where the Software is not used to generate profit or revenue.

"For-Profit Use" means any use that is not Permitted Use, including but not limited to any use by, for, or on behalf of any for-profit business, employer, client, for-profit school, university, training provider, bootcamp, certification program, company, agency, institution, or organization, and any use that generates or is intended to generate profit or revenue, directly or indirectly.

"Derivative" means any copy, fork, port, variant, rebrand, adaptation, translation, or modified version of the Software, in whole or in part.

2. GRANT (PERSONAL AND NON-PROFIT USE) Subject to these terms, VTEM Labs grants you a non-exclusive, non-transferable, revocable license to download, install, run, and modify the Software solely for Permitted Use.

Non-profit use of the Software at any event, including any non-profit Capture-the-Flag (CTF) event, class, workshop, competition, or conference, is permitted only if you (a) obtain prior written approval from VTEM Labs; (b) prominently display the VTEM Labs logo and the words "Powered by VTEM Labs" at the event; and (c) link to vtemlabs.com.

A Capture-the-Flag event, class, workshop, competition, or activity held at, or as part of, a conference, convention, or venue that charges paid admission or registration is For-Profit Use under this License and requires a commercial license, not the approval described above, regardless of the non-profit status of the event or its organizer.

3. RESTRICTIONS Without the prior written authorization of VTEM Labs and a separate commercial license from VTEM Labs, you may NOT, and may not permit others to:

a. Use the Software or any Derivative for any For-Profit Use.

b. Use the Software or any Derivative for any paid, fee-based, tuition-based, sponsored, or otherwise compensated for-profit training, course, class, workshop, bootcamp, lab, or certification program.

c. Use the Software or any Derivative as part of, or as the infrastructure, platform, lab environment, courseware, or training material for, any paid or for-profit Capture-the-Flag (CTF) event, wireless penetration testing course, security course, or similar offering.

d. Use the Software or any Derivative within, for, or on behalf of any for-profit school, university, institution, company, agency, or organization, or any government or government agency.

e. Sell, resell, rent, lease, sublicense, host as a service, or otherwise monetize the Software or any Derivative, or use it to generate revenue, directly or indirectly.

f. Rebrand the Software or any Derivative, remove or alter its notices or branding, claim authorship or ownership of it, or otherwise represent it (or any Derivative) as your own or your organization's product or asset.

g. Copy, reproduce, distribute, redistribute, publish, mirror, post, or otherwise share or make the Software or any Derivative available to any third party, in whole or in part.

For clarity: standing up a for-profit wireless penetration testing course, security program, or CTF, and using the Software or any Derivative as its infrastructure or training material, is expressly prohibited without a paid license from VTEM Labs. VTEM Labs does not authorize anyone to make money from the Software, in any shape, form, or fashion, without such a license.

4. COMMERCIAL LICENSING Any use described in Section 3 requires a separate commercial license. To obtain authorization and licensing for commercial or other for-profit use, contact VTEM Labs.

A license is not always monetary. For conferences, events, and CTFs, VTEM Labs may grant a license in exchange for non-monetary consideration instead of a fee - for example, making VTEM Labs a high-tier sponsor of the event with logo placement and brand recognition, and sharing the event's attendee, contact, and sponsor lists. Terms are agreed in writing with VTEM Labs.

5. RESERVATION OF RIGHTS All rights not expressly granted are reserved by VTEM Labs. No rights are granted by implication, estoppel, or otherwise. The names "Tala", "Tala WTE", "VTEM Labs", and associated logos and marks are the property of VTEM Labs and may not be used without prior written permission.

6. TERMINATION This license terminates automatically and immediately if you breach any of its terms. On termination you must cease all use of the Software and any Derivative and destroy all copies in your possession or control.

7. DISCLAIMER OF WARRANTY THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL VTEM LABS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

8. LAWFUL USE The Software is intended for authorized wireless security training and testing only. You are solely responsible for ensuring your use is lawful and authorized on any network or system you operate it against.
